Alex,

My reading of the Deloittes creditor's meeting notice is that there
seems to be only one real decision to be made (agenda item 2).
Deloittes themselves are very keen on an adjournment to allow the
OSS
sale process to proceed (which seems sensible), so ... is there
much
point in going? Let's face it.. the other decisions (eg. whether
they're going to be paid their enormous fees), unpalatable as they
may
be, seem mere formalities.

.. or am I missing something?

Yokki.

Dear all, the purpose of this email is to highlight some
logistical
information for this weeks creditors meeting.

Date
8/8/02
Time
11:30am onwards

Venue
All creditors (this means you) are invited to attend the main
Melbourne based venue at Deloittes, 21/505 Bourke Street.

Voting for Melbourne based Creditors
Votes can be cast from the venue provided that each creditor:

- Has previously lodged a statement of claim form

- Has nominated a proxy to vote on their behalf and has
lodged a statement of claim form

Proxy's
From a logistical point of view this is the preferred method of
voting. To do this you must complete and lodge an "Appointment of
Proxy Form". A copy of this form was enclosed in the Deloittes
letter to you regarding the creditors meeting. I also have copies
if you need them (copy also attached).

Once again, I am happy to be nominated as your proxy.

Completed Proxy forms must be returned by midday Wednesday
7/8/02.

They can be sent by fax to either:

Alex Kuras - 9899 1220
Amy Liddy (Deloittes) - 9208 7700

or delivered to me at 20 Prospect Street Box Hill.

Questions to be Raised
As the agenda for the meeting does not specifically allow for
question time, please submit your questions to me via email
before

I agree with Yokki. Is there really any point in going? It's all a
formality run from Sydney anyway.

Now, if Theo was going to present to staff afterwards, now *that*
would be worth showing up for! Anyone know if this is going to
happen?

What leads you to believe that the Administrators would take sides
with - or provide a forum for - any of the prospective buyers?
They
will concentrate on the published agenda.

In the meantime the rest of us will take control of our own lives
and
endeavour to find suitable employment - I'd suggest that focussing
on
this will be more productive than waiting for unknown other
parties to
restart this business.

Alex:

I have some concern regarding OT # creditor meeting agenda
items
covering approval for the payment of "future remuneration" to
either
the voluntary administrator, deed administrator or liquidator
(Items
5, 6a, 6b). Please have Deloitte respond to these questions:

If a creditor votes in favour of any or all these provisions does
the
creditor assume any personal liability for remunerations? (Either
if
passed in majority or vote by vote) [Alex Kuras] NO

Please ask the administrator to clarify the exact source of funds
for
payment for future services and clarify any potential liability to
employee creditor entitlements. [Alex Kuras] From existing cash at
bank, customer receipts and if required the sale of assets.
Employees
are not liable for the actions of the Administrators.

Further, is there any potential for any direct financial liability
to
employee creditors should these agenda items be passed? I would
like
to make sure that future remuneration regarding OT administration,
deed and liquidation are limited to what can be recovered from Open
Telecommunications accounts and other OT assets and that they have
no
financial effect on employee creditors either through:

* extraction of funds from employee creditor GEERS settlements
* payment of services via billing of these services directly to
employee creditors on percentage base

No. Employees are not liable for the actions of the Administrators
and
therefore not expected to personally fund their services.

Considering all that has happened and that most of us lack much or
any
experience with company administration matters I would like to
error
on the side of caution. Please ask Deloitte to clarify these
questions prior to accepting votes on these agenda items.

Regards,

Stephan Wickham

Hi Neil and all,

No you can attend and vote if you want to provided you have
submitted
your claim (which most people have) or;

You can attend as an observer (provided you have a debt registered)
and have a proxy vote on you behalf. And yes this makes the count
easier as well as having only a few people ask questions as
apposed to
many. Or;

You can nominal your proxy and let them attend and vote on your
behalf
or;

You can not do anything.

Cheers, alex

Alex

Are you saying that you MUST submit a proxy even if you will be
attending in person; or just that it is logistically beneficial to
use
proxies as there would then just be N voters with M proxies each,
rather than 1 vote per creditor...

Hi,

The administrator recognises that he is unable to prevent a staff
briefing
where the staff briefing is held off premises and out of business
hours. He
accepted that this is a matter for the "MBO Team" and would prefer
that such
briefings did not take place until after the short-listing.

Therefore we wait until this time. Sorry.

hi guys,

went to see ixp3 recruitment yesterday. The company they are
interviewing ex-ot staff for is called CITR which is an offshoot of
the university of brisbane, and yes according to the agent they are
one of the bidders for OT Melbourne. their web site lists a
melbourne address but when I asked the agent where their
development
was done in melbourne the agent brushed past the question ... which
makes me wonder if they actually do any development in melbourne at
all at the moment. I came away from the interview with the
impression that a) the agent hadn't actually read my resume before
interviewing me ( as in I was from OT and therefore she was going
to
interview me ) and b) that this company are not actually offering
any
jobs to anyone at the moment. But that was just my impression.

Good to see Deloittes are as about as reliable as the previous OT
management and also Macquarie Bank.

Has *anyone* received their GEERS paperwork yet? Or is this just
another hollow promise?

I mean, with the cool half a million Deloittes are being paid for
this
job, you'd think they could employ at least one or two staff to
post
the paperwork!

Or maybe they need to hire some documentation people???

*sigh*

No wonder the words "bankers" and "wankers" are so closely related.

There was always the joke that the Irish named their currency the
Punt
so as to rhyme with bank-manager.

All,

I have been told that the calculations have taken longer than
expected
due to the size and complexity of the exercise. Draft figures are
currently being reviewed as we speak. If all is well paperwork
will be
posted forthwith.

Now, why aren't I surprised by that?

Alex, if they need more staff, just let us know...

If you give us your contact's phone number and email, I'm sure
we'd be
happy to check in on them every 24 hours or so. With all of us
ringing
and emailing, I'm sure they'd get a move-on...

Of course, the longer it takes, the more money they take from the
company.

What did Richard call them?? Was it "Punts"????

From Telecom News ... look into point number 5 ..

** SEVEN TELECOM COMPANIES FAIL TO MEET SEC HONESTY DEADLINE **

At least seven major telecom vendors and operators appear to have
missed an August 14 deadline imposed by the US Securities and
Exchange
Commission requiring their CEOs and CFOs to certify that their
recent
accounts are accurate.
According to a list on the SEC Web site,
1) ADC Telecommunications,
2) Agilent,
3) Avaya,
4) Cisco,
5) Williams
6) Brightpoint, and
7) Broadwing

had all failed to submit their sworn statements by the deadline.
Two other telcos, WorldCom and Qwest, had already indicated that
they
would be unable to submit their statements on time. The SEC
enforced
the requirement on nearly 1000 of the largest US-registered
companies
in the wake of various corporate accounting scandals. Other
American
companies that are technically based in offshore tax havens - such
as
Bermuda-based Tyco - are exempt from the requirement.
It was unclear yesterday if any of the seven telecom companies who
failed to file were seeking a possible five-day extension on the
deadline. Technically there are no penalties for companies who
fail to
comply but it is expected that those who don't will suffer
consequences
with investors and creditors. It is also possible that the SEC
failed
to update its site with late-arriving statements, although US
newspapers reported that the SEC had dedicated two staffers to
updating
the Web site in real-time.
Some companies, such as Qualcomm, were confident enough in their
accounts to file two weeks ago.
