For the benefit of anyone not on openVictims, we got advice yesterday
(Wednesday) that our GEERS claim had failed.
A letter is being sent out from the Department to all claimants, with
the reason being the Deed does not respect the priorities set down in
Section 556 of the Corporations Act.
A press release, from the Department of Employment and Workplace
Relations is here.

Backlash over missing super
By Anne Lampe
July 15 2003
Tougher action against employers who fail to pay compulsory super
contributions is being pushed by the Federal Opposition and the Australian
Manufacturing Workers Union.
The campaign follows the discovery of a $700,000 hole in employee super
contributions at supermarket trolley maker Metro Products, which had an
administrator appointed two weeks ago.
Now, it has been discovered that Metro's super contributions for 2002-03 -
representing 9 per cent of workers' pay - have not been paid, according to
the AMWU and shadow workplace relations minister Craig Emerson.
And there is nothing anyone can do to get them back. Unpaid super
contributions are not included in the General Employee Entitlements and
Redundancy Scheme (GEERS) which gives preference to workers' back pay,
unpaid holiday and long service leave ahead of other creditors.
But super contributions are not covered.
Until this year, employers were required to pay super contributions only at
the end of the financial year, and many employees whose super contributions
went unpaid did not find out until it was too late.
From this financial year, contributions must be paid quarterly. Mr Emerson
and Paul Bastion, the NSW State secretary of the AMWU, said they would like
to have employers pay contributions monthly.
Last year Labor introduced a bill into parliament to protect workers'
superannuation contributions in the event of corporate collapse, but it was
rejected by the Coalition Government.
Mr Bastion says in 2001-02 more than 6000 companies failed, many leaving
workers out of pocket.
Mr Bastion said the union was assured last April that super would be paid by
June. "That is why this union has been demanding a number of improvements in
corporate law reform.
"First and foremost we believe there should be a reverse onus in the act
[the Corporations Act] in relation to the eligibility of directors.
"We say that once a company goes into liquidation . . . the directors should
be automatically debarred from holding office unless they can demonstrate to
a court or to the appropriate authority that they have exercised their
fiduciary duty as directors in accordance with the law, and when they have
done that they can be opted back in."
Mr Bastion said he had previously referred a number of failed employers to
the Australian Securities and Investments Commission for action. "Our
experience to date is a 100 per cent lack of interest from ASIC in these
type of collapses.
"Their argument to us is that they don't have sufficient funds to chase them
all, so they stick to the sexy ones. It is not good enough. Either the
Government should give more money to enable ASIC to carry out the proper
prosecutions as a real deterrent to these directors or automatically debar
them and they must demonstrate their bona fides to get back in."
A spokeswoman for ASIC said it was rare to prosecute directors for insolvent
trading because it was hard to prove and that many failures resulted from
mismanagement, which was not a crime.

I did a bit of checking up, and it seems that Robert Whitton has
really left Deloittes.
In relation to the National Express administration, he has resigned
as an administrator of NX, and Peter Yates (of all people) has taken
over as the 2nd administrator (alongside Simon Wallace-Smith, the
other original Administrator).
*****
In a few minutes the NX Deed PROPOSAL (not the actual Deed) will be
put on the (public) list, under the UNOFFICIAL section (because it's
not the actual Deed).
The actual Deed was executed a couple of weeks ago, but it's not
freely available (... business as usual).
The Deed (proposal) is quite an eye-opener.
1. Employees are not even a part of the Deed, because the State
Government unconditionally paid them out (yes, Peter Batchelor, the
Minister of Transport, being generous).
2. The State Government won't recover anything from the Deed.
3. No mention of the Performance Guarantees that the Government is
holding (as a security against default - which is exactly what's
happened). The Government is taking a hard line about keeping that
money (about $80m?)
*****
National Express (NX) is the entity behind M>Tram and M>Train. It
appears that the National Express Bus company is unaffected.
Nick.
They must've tested it inhouse before releasing it....

... unfortunately it's the wrong part of Deloittes.
Deloitte Consulting have recently written a program called
BullFighter. It looks for "fluffy" language and highlights it. They
say that the more fluffy language an organisation puts out, the more
insolvent it is (EnCon, WorldCON, ...)
Examples of fluffy language:
A value-added, leverageable global knowledge repository."
"Repurposeable, leading edge thoughtware that delivers results-driven
value."

Braxtons. Bear this in mind when thinking about those 52% pay cuts
at DC.

Maybe the government could bring in an "OT Phone Levy" which would be a tax
on all phone calls made until we are paid out. Wouldn't take long to get the
amount in the coffers...

Very good submission Nick. Well done.
I would also recommend reading the ACTU submission No 32, which has many
interesting tid-bits. e.g. govt stated an intention to change law to place
employee entitlements ahead of secured creditors prior to last election (but
hasn't done it), and scheme to pay Ansett employee entitlements was
substantially the same as GEERS but without payment caps.

Tomorrow (Saturday) it will be 12 months since the company initially
went into Voluntary Administration.
In that time, we have had:
1. two weeks of total uncertanty
2. several possible buyers for the OSS business (none of whom were
successful, and at least one was frustrated at the procedure)
3. About 2-3 months of delays to get our Statement of Personal
Entitlements
4. an argument about redundancy entitlements, which still hasn't
been fully resolved
5. An ajournement and an extension, culminating in many people
getting the report late on Friday night for a Monday meeting
6. Packets of mushroom soup being distributed to launch this email
list
7. A deed which provided for only 43% of entitlements (and 20% for
contractors and general creditors)
8. Eight months of DEWR and Deloittes studying the legalities
behind the Deed.
9. Even more redunancies at OT
10. Some newspaper media coverage
11. Several resignations (Rob Whitton, Marcus, Derek, Phil Lee)
Plenty of action, but no money.
I hope we have better luck in the next 12 months.

To quote from the report:
Significant Events after the Balance Date (31 Dec 2002)
"Purchase of Rights
During January 2003 Siemens exercised ther right pursuant to a put & call
option agreement dated 17 Sep 1999 to require the company to purchase for $1
million the intellectual and industrial property rights in the CI "Capacity
Integrator" technology (and all associated rights). The company paid the $1
million in February 2003. A provision for this was made in the 2002
accounts - refer notes 3 and 12."
The $1 million has been written off.
So much for Wayne keeping the company going with his own money. As far as I
can see, the only money provided was $1.5M for convertible notes which
converted to $200k of shares and a secured debt currently $1.4M and a $20k
interest payment made. This is a secured debt i.e. fully repayable, no 43%
for Wayne.
OT paid $1.9M in professional service fees for voluntary administration in
2002 financial year.
$9M "investment" in MagnetPoint has been written off.
