This is a brief public summary of a phone discussion between GEERS DEWR
(Department
of Employment and Work Place Relations) representatives and Paul Davis on the
26th August 2003.
The following points were made by the department:
It is the desire of the department to provide GEERS assistance to the former
Open Tel employees, however the terms of the Open Tel DoCA are inconsistent with
the terms of the GEERS operational arrangements.
It needs to be understood that GEERS was established by the Federal Government
to provide a safety net for the entitlements of employees who have been
terminated due to their former employers' insolvency. GEERS was not set-up to
provide assistance to company's to restructure themselves. However, in certain
circumstances GEERS can provide assistance to terminated employees where a DoCA
has been entered into.
The circumstances in which GEERS assistance will be provided under a DoCA is
where the payment of all funds available under the DoCA follows the priority of
creditors as set in Sec 556 of the Corp Act. This would mean that the funds
available under the DoCA would be provided to meet employees entitlements
before other unsecured creditors are paid. Hence, if there are sufficient
available funds under the DoCA to pay all of the
employee entitlements then these funds should be directed at paying out the
entirety of the entitlements. On the hand, if there are insufficient funds to
pay-out all of the entitlements, then all available funds should be used to
pay-out as much of the entitlements as possible. In both cases GEERS assistance
would be provided to the fullest extent that the GEERS operational arrangements
stipulate. This means that assistance provided to
each employee would be determined by their salary level and not the amount
directed to them under the terms of the DoCA.
It should be noted that Sec 556 only directly applies to companies in
liquidation and a DoCA does not necessarily have to comply with priorities set
out in Sec 556. The DEWR has made it very clear to all insolvency
practitioners since March 2002 of the mandatory requirements of a DoCA, where
they wish to avail themselves of the provision of GEERS assistance for
employees. DEWR continues to state these requirements to insolvency
practitioners in each new case.
Former employees should aware of the Media Release from the Minister, the Hon
Tony Abbott MP entitled "GEERS Assistance For Open Telecommunications
Employees".

In particular the final paragraph which states:
"In the case of Open Telecommunications Ltd employees GEERS assistance will be
available if the deed of company arrangement agreed to by creditors is altered
to reflect the requirements set out in the GEERS Operation Arrangements."
It is correct to interpret this statement as saying that while the former
Open Tel employees GEERS claim has been found to be ineligible due to the
inconsistency between the DoCA and the GEERS requirements, they
would be reassessed and assistance could be provided , subject to the OAs, under
the following circumstances:
1. the OT directors agreed to change the DoCA in line with the GEERS operational
arrangements, OR
2. the DoCA fails before its terms have been fully met. Thus may occur for a
number of reasons including a court ruling resulting from any legal action, OR a
decision by creditors to liquidate the company.
Of course in the circumstances above the Department would need to take into
account the terms of the revised DoCA and/or any associated court order(s) in
assessing the eligibility of the former Open Tel employees

I also sent them my academic results and the offer letter (offer of
employment), and this confirmed in their eyes that I am covered by
the Award.
It seems therefore, that they have accepted the concept of
redundancy, but there are still some issues, both with what legal
entitlements we have, and with the processing of claims at Deloitte.

New information to hand: new date for the change is 17 Sept 2003.
I am planning to set up an alternative public repository for files
and photos so that people do not have to use a Yahoo ID to get the

Hi all,
I had an email from Peter G Yates yesterday saying he had yesterday returned
from leave and will get back to me shortly "after meeting with the company".
I have been asked for contact details for Deloittes. My understanding of
the status when last I spoke to Deloittes (approx 1 month ago) was that they
were waiting on the rejection from DEWR and were going to send out a letter
requesting proof that you are covered by the award, along with a letter
about DEWR's rejection. I have asked for clarification on this.

Backlash over missing super

Tougher action against employers who fail to pay compulsory super
contributions is being pushed by the Federal Opposition and the Australian
Manufacturing Workers Union.
The campaign follows the discovery of a $700,000 hole in employee super
contributions at supermarket trolley maker Metro Products, which had an
administrator appointed two weeks ago.
Now, it has been discovered that Metro's super contributions for 2002-03 -
representing 9 per cent of workers' pay - have not been paid, according to
the AMWU and shadow workplace relations minister Craig Emerson.
And there is nothing anyone can do to get them back. Unpaid super
contributions are not included in the General Employee Entitlements and
Redundancy Scheme (GEERS) which gives preference to workers' back pay,
unpaid holiday and long service leave ahead of other creditors.
But super contributions are not covered.
Until this year, employers were required to pay super contributions only at
the end of the financial year, and many employees whose super contributions
went unpaid did not find out until it was too late.
From this financial year, contributions must be paid quarterly. Mr Emerson
and Paul Bastion, the NSW State secretary of the AMWU, said they would like
to have employers pay contributions monthly.
Last year Labor introduced a bill into parliament to protect workers'
superannuation contributions in the event of corporate collapse, but it was
rejected by the Coalition Government.
Mr Bastion says in 2001-02 more than 6000 companies failed, many leaving
workers out of pocket.
Mr Bastion said the union was assured last April that super would be paid by
June. "That is why this union has been demanding a number of improvements in
corporate law reform.
"First and foremost we believe there should be a reverse onus in the act
[the Corporations Act] in relation to the eligibility of directors.
"We say that once a company goes into liquidation . . . the directors should
be automatically debarred from holding office unless they can demonstrate to
a court or to the appropriate authority that they have exercised their
fiduciary duty as directors in accordance with the law, and when they have
done that they can be opted back in."
Mr Bastion said he had previously referred a number of failed employers to
the Australian Securities and Investments Commission for action. "Our
experience to date is a 100 per cent lack of interest from ASIC in these
type of collapses.
"Their argument to us is that they don't have sufficient funds to chase them
all, so they stick to the sexy ones. It is not good enough. Either the
Government should give more money to enable ASIC to carry out the proper
prosecutions as a real deterrent to these directors or automatically debar
them and they must demonstrate their bona fides to get back in."
A spokeswoman for ASIC said it was rare to prosecute directors for insolvent
trading because it was hard to prove and that many failures resulted from
mismanagement, which was not a crime.

I did a bit of checking up, and it seems that Robert Whitton has
really left Deloittes.
In relation to the National Express administration, he has resigned
as an administrator of NX, and Peter Yates (of all people) has taken
over as the 2nd administrator (alongside Simon Wallace-Smith, the
other original Administrator).

In a few minutes the NX Deed PROPOSAL (not the actual Deed) will be
put on the (public) list, under the UNOFFICIAL section (because it's
not the actual Deed).
The actual Deed was executed a couple of weeks ago, but it's not
freely available (... business as usual).
The Deed (proposal) is quite an eye-opener.
1. Employees are not even a part of the Deed, because the State
Government unconditionally paid them out (yes, Peter Batchelor, the
Minister of Transport, being generous).
2. The State Government won't recover anything from the Deed.
3. No mention of the Performance Guarantees that the Government is
holding (as a security against default - which is exactly what's
happened). The Government is taking a hard line about keeping that
money (about $80m?)

on all phone calls made until we are paid out. Wouldn't take long to get the

Thankyou for taking part in this email list. Some points to remember when using
this email list.
1. To view old messages, shared files (*.pdf, etc), and the members list go to
the web site:
http://au.groups.yahoo.com/group/otmushrooms
Those with yahoo ID's can also set options on their membership, send messages,
and hide their email address (for total spam protection).
2. If any member has files they wish to share, please don't send them
as attachments to messages - they will be stripped.
Instead, upload them to the Files section (a Yahoo ID is required to
upload, but not to view). Or send them as an attachment to me
otmushrooms-owner@...
3. When replying to messages, please trim the quoted message down to that which
is relevant.
4. You are reminded that ANYONE can view message archives and files
(this can be changed, but there is a serious issue in doing so), but
only members can post and upload files.
5. Special note: I am very interested in getting as many people as
possible to join this list. Please contact anyone you know who is
owed at least $1.
6. We're all here for a good time, and there's going to be a lot of
people poking fun at a lot of things, but play the ball, not the
man. Please be aware: I know that Deloittes have joined this list,
and they are nice enough to answer questions as they arise.
